These Terms of Service ("Terms") govern your access to and use of the websites, mobile applications, and software products (together, the "Services") provided by Vertex-Ola International Resources Limited ("Vertex Ola", "we", "us", or "our"), a company registered in Nigeria. By creating an account, making a purchase, or otherwise using the Services, you agree to these Terms. If you do not agree, please do not use the Services.
1. Who we are
Vertex-Ola International Resources Limited is a software company registered in Nigeria (RC 1863186), with its registered office at Flat No. 2, Kola Akintola Close, Iyana-Eyinni, Orita-Challenge, Ibadan, Oyo State, Nigeria. Certain products are published internationally by Daeyla LLC (United States) and operated in Nigeria by Vertex Ola, which processes local payments.
2. Eligibility and accounts
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services or make a purchase. When you create an account you agree to provide accurate information and to keep it current. You are responsible for the activity that happens under your account and for keeping your login credentials secure. Notify us promptly if you believe your account has been accessed without your permission.
3. The Services
We provide software and related services that may include mobile applications, web applications, and digital content. Features may differ between products and may change over time as we improve them. We may add, modify, suspend, or discontinue any part of a Service, and we will give reasonable notice where a change materially affects a paid feature you rely on.
4. Acceptable use
When using the Services, you agree not to:
- break any applicable law, or infringe the rights of others;
- access, tamper with, or use non-public areas of the Services or our systems without authorisation;
- attempt to probe, scan, or test the vulnerability of any system or to breach security measures;
- upload malicious code, or interfere with the proper working of the Services;
- use the Services to send unsolicited messages, or to harass, abuse, or harm another person;
- resell, sublicense, or commercially exploit the Services without our written permission.
5. Payments, subscriptions, and billing
Some Services are offered for a one-time fee or on a recurring subscription. Prices are shown at the point of purchase and, for Nigerian customers, are typically charged in Nigerian Naira (NGN). Payments are processed by our third-party payment provider, Paystack, and where relevant by the app stores (Apple App Store and Google Play). We do not collect or store your full card details on our own servers.
If you buy a subscription, it renews automatically at the end of each billing period at the then-current price, unless you cancel before the renewal date. You can cancel at any time as described in our Refund and Cancellation Policy. Failure to pay may result in suspension or loss of access to paid features.
6. Intellectual property
The Services, including their software, design, text, graphics, and logos, are owned by Vertex Ola or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. You may not copy, modify, distribute, reverse engineer, or create derivative works from the Services except where the law expressly permits it.
7. Your content
You keep ownership of any content you submit to the Services. By submitting content, you grant us a limited licence to host, store, and display it only as needed to provide the Services to you. You are responsible for ensuring you have the right to submit the content and that it does not break these Terms or any law.
8. Third-party services
The Services may rely on or link to third-party services, such as payment processors, hosting providers, and app stores. Your use of those services is governed by their own terms and policies. We are not responsible for the content or practices of third parties.
9. Disclaimers
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we do not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that they will meet your specific requirements.
10. Limitation of liability
To the fullest extent permitted by law, Vertex Ola will not be liable for any indirect, incidental, special, or consequential loss, or for any loss of profits, revenue, or data, arising from your use of or inability to use the Services. Where liability cannot be excluded, our total liability to you is limited to the amount you paid us for the relevant Service in the twelve months before the event giving rise to the claim.
11. Indemnity
You agree to indemnify and hold Vertex Ola harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your misuse of the Services or your breach of these Terms.
12. Suspension and termination
You may stop using the Services at any time. We may suspend or end your access if you break these Terms, if we are required to by law, or to protect the Services and other users. On termination, the licences granted to you end, though provisions that by their nature should survive will continue to apply.
13. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from them will be subject to the exclusive jurisdiction of the courts of Nigeria, without limiting any mandatory consumer rights you may have where you live.
14. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the date at the top of this page and, where appropriate, notify you through the Services. Continuing to use the Services after a change means you accept the updated Terms.
